Sanofi has completed its acquisition of Vigil Neuroscience, a deal that has centered around an oral small molecule TREM2 agonist, VG-3927, soon be in a phase 2 trials for Alzheimer’s disease.
In addition to acquiring VG-3927, Sanofi will be able to take advantage of Vigil’s preclinical pipeline to strengthen its research into neurodegenerative diseases.
Sanofi announced that it had entered an agreement to buy Vigil back in May of this year. However, the drugmaker has had its eye on the VG-3927 asset since June 2024, which is when Sanofi made a $40 million strategic investment in Vigil to gain exclusive rights to VG-3927.
The acquisition agreement gives Sanofi all the outstanding common shares at $8 per share in cash at closing, which has an equity value of approximately $470 million. Plus, Vigil’s shareholders have received a non-transferrable contingent value right per Vigil share. They have the right to a deferred cash payment of $2 upon the first commercial sale VG-3927.
