Supernus Pharmaceuticals and Indivior Pharmaceuticals have arrived at a definitive agreement to merge into Supernus, Inc.
The two companies produce a diverse range of central nervous system (CNS) medicines, with approximately $2.2 billion in combined annual revenues. The tax-free, all-stock merger will improve their financial position in the market, enabling profitable growth and greater cash flow generation.
Supernus's commercial portfolio leans heavily on extended-release capsule technology. Qelbree, the company's top-selling ADHD treatment, is an extended-release capsule for once-daily oral dosing. Gocovri, for Parkinson's-related dyskinesia, and Trokendi XR, for epilepsy and migraine prevention, are also extended-release capsules.
Indivior has focused on the science of addiction medicine, particularly for opioid use disorder (OUD). The company operates with the understanding that OUD is a chronic but treatable brain disease.
